The Company

The company SARL DELOT Invest, with a share capital of EUR 10,000, having its registered office at 7 Allée des Blés - 91400 GOMETZ-LA-VILLE, registered in the Evry Trade and Companies Register under the number Siret 519 908 446 000 23, represented by its Manager, Mr DELOT Eymeric, is hereafter referred to as the "Company".

The Sites

The websites www.r2d2trading.com published by SARL DELOT Invest are hereafter referred to as the "Site".

The Services

The following is referred to as "Services": all the services, both free and paying, offered by the Company on the Site accessible online on the Internet.

The User

The following is referred to as a "User", any natural or legal person who uses the Service in whole or in part, free of charge or for a fee. An "Individual User" is a natural person who does not use the Service for professional purposes but uses it exclusively for his or her own personal use. A "Professional User" is a natural or legal person who uses the Service on a professional basis.

The Subscriber

The term "Subscriber" hereafter refers to any User who has concluded one of the user licences offered by the Company SARL DELOT Invest. Regardless of the Subscription chosen, the User accepts all of these General Terms and Conditions of Sale, hereinafter referred to as GTC. Only Users with a valid e-mail address and who have agreed to these GTC may become Subscribers.

The Subscription

The following is referred to as a "Subscription", a paid package giving access to paid Services over a limited period, which may be 3 months or 12 months. A Subscription cannot be tacitly renewed by the Subscriber. The Subscriber must take out a new subscription in order to extend the duration of his subscription to our services.

Object

The Company has developed analysis software that allows it to define a market trend applicable to stocks, CFDs or futures. This information is then communicated for information purposes on the site www.r2d2trading.com in return for a subscription. The purpose of these GTC is to define the rights and obligations of the Users and the Company in relation to these Services. The User accepts all the conditions described in these GTC.

The Company provides a code to automate the monitoring of the information provided by its services and to automate the trading from this information. The user is the sole judge of the usefulness of using this code and/or activating the automatic trading.

The parties agree that the Company may have to modify the Service and/or the terms of these GTCs, particularly in view of the technical development of the Service. The Company undertakes to inform Users in advance of any changes to the GTC. The use of the Service by the User after any modifications is deemed to be acceptance of the said modifications.

Article 1: Registration

The User who wishes to subscribe to the Company's Services undertakes to complete the online registration form in good faith, providing accurate and complete information. In particular, they undertake not to use a false identity. The User is responsible for the email (login) he chooses and the associated password he uses. He undertakes to keep it confidential with regard to third parties. The User shall be held responsible for all actions carried out on the Site with his profile. The Company reserves the right to terminate the subscription of any Subscriber who voluntarily or involuntarily provides incorrect information.

Article 2 : protection of personal data

This site has been declared to the Commission Nationale de l'Informatique et des Libertés (CNIL) under number 1709738. The Company undertakes to comply strictly with the provisions of Law No. 78-17 of 6 January 1978, as amended, known as the "Informatique et Libertés" law.

The personal data provided by the User when registering for the Services is intended for the Company. It will not be transferred to third parties. However, the Company may use the personal data provided for its own commercial purposes. The User has a right of access, rectification, deletion or opposition concerning the information he/she provides when registering, in application of the provisions of the aforementioned law n° 78-17 of 6 January 1978 as amended.

The User also acknowledges that he/she has been informed that a "cookie" will be placed on his/her computer in order to facilitate navigation on the site by memorising certain parameters. The User acknowledges that he/she is aware that his/her browser allows him/her to oppose the recording of "cookies".

Article 3 : Subscription conditions

To become a Subscriber, the User must click on a button which validates the words "I have read the General Terms and Conditions of Sale relating to the Services provided by www.r2d2trading.com". The contract governing the relationship between the Company and the Subscriber is thus formed, subject only to the Company sending an e-mail confirming the chosen Subscription. After payment, the Subscription will be considered effective.

R2D2trading reserves the right to modify the terms and conditions of subscriptions and their prices at any time. Should this be the case, R2D2trading undertakes that the subscriber will not lose the use of his subscription as it is used at the time of the modification until the end of his subscription period.

Article 4 : prices and payment terms

The different prices and payment conditions are indicated at the time of registration or re-registration.

The subscription period begins on the date of receipt of the order confirmation e-mail sent by the Company to the address indicated by the User.
All subscriptions must be pre-paid, any period started is entirely due, all payments made are entirely due and non-refundable, whatever the subscription formula chosen.

If the Subscriber chooses to pay online by credit card, the payment is made via a secure system on the site of a third party (paypal). This third party is responsible for the protection of the financial data that the Subscriber communicates to it. The Company is not responsible for the information given to this third party service and does not guarantee the confidentiality, security and reliability of data transmission via this secure online payment system.

Article 5 : right of withdrawal

In accordance with article L 121-20 of the French Consumer Code, the Subscriber is informed that he/she has a period of seven clear days from the subscription of the Services to exercise his/her right of withdrawal, without penalty and without reason. The request can be made by post or by e-mail to the following address: contact.arobase.r2d2trading.fr ( contact@r2d2trading.fr ) However, in accordance with Article L 121-20-2, 1° of the French Consumer Code, the right of withdrawal can no longer be exercised once the Subscriber has accessed the Services concerned.

Article 6 : renewal

There is no automatic renewal of a subscription. To extend the use of the services, the subscriber will have to take out a new subscription under the conditions in force at the time of renewal in order to extend the validity of the user licence.

Article 7 : financial information

The information and data on the stock market values indicated on the Site are selected with care and are communicated for information purposes only and not with the aim of encouraging transactions. It is intended for informed Users who are aware of the speculative nature of these operations and the rapid fluctuations that can occur on certain markets. Any uninformed person is advised to consult a professional advisor before investing.

They do not constitute investment advice within the meaning of the French Monetary and Financial Code and the general regulations of the Autorité des Marchés Financiers. DELOT Invest or r2d2trading.com shall not be held responsible, directly or indirectly, for the use of the information and analyses by the Subscribers to the Service or for the use of the automatic trading tool provided.

The Company therefore recommends that Users do not take any decision on the basis of this information before checking it, it being specified that the User will, in any event, be solely responsible for the interpretation and use that he/she decides to make of it. The Company does not guarantee the results or performance of products based on the information provided on the site. Consequently, neither the Company nor its directors and employees shall be liable to any person for any loss, damage, cost or expense whatsoever resulting from any error, omission or alteration of information which the User may suffer as a result of any error in the information provided.

Investors' attention is drawn to the fact that option warrants or CFDs, due to their optional nature, are likely to fluctuate significantly or even lose all value. At any time, the price of these products may be subject to significant volatility due to changes in market parameters. The products may include adjustment or substitution provisions to take into account the consequences for these products of certain extraordinary events that may affect the underlying assets of these products or, where applicable, the early termination of these products. Figures relating to future performance are forecasts and are not a reliable indicator of future performance. With the exception of products that offer protection against currency risk, the investment in the products will also be sensitive, where the underlying is quoted in a currency other than the Euro, to changes in the exchange rate between the currency of quotation of the underlying and the Euro. In some cases, when the underlying asset (index, basket) includes components quoted in currencies other than the Euro, the investment will also be sensitive to changes in the exchange rate between the currency(ies) in which the components of the underlying are quoted and the currency in which the underlying is quoted. As the products are leveraged, the value of the product will amplify both upward and downward movements in the value of the underlying asset(s) and the product may lose value.

Article 8 : responsibility

The Company undertakes to provide an up-to-date information service. Given the fluctuating nature of the input data, the Company declines all responsibility in the event of error, inaccuracy or omission. The Company shall not be held liable in the event of force majeure or an event beyond its control, in particular in the event of interruption of the Service resulting from a failure of the telephone network or the User's Internet access provider or any other technical consideration related to the use of the automatic trading code.

Article 9 : intellectual property

The Company remains the owner of the intellectual property rights of all the content of the Site, including text and images, static graphics with the exception of the information flows provided by its partners. The Company is therefore granted a right of access for the personal use of the User, which is non-exclusive and non-transferable to a third party for the duration of the User's subscription.

The User undertakes not to redistribute or transmit the data accessible through the Service, in any form or in any way whatsoever. Any misappropriation for the benefit of a third party who is not a Subscriber to the Service(s) will systematically lead to the termination of the Service without compensation for the period in progress.

The data stream provided by the Company as part of the subscriptions cannot be used to feed a computer application other than the automatic trading tool provided. Similarly, decoding the feed from the Site or using it for an automatic system will result in the User's account being closed without compensation.

Article 10 : combating payment fraud

In order to secure the use of its customers' means of payment, the Company, in partnership with the company Paypal, may be required to ask for any supporting documents (relating to identity, and/or domicile and/or the means of payment used). Failure or refusal to provide the requested proofs may lead the Company to refuse the order concerned. The delay in transmitting the requested supporting documents may delay the dispatch or delivery of the products/services ordered. The information related to your order is transmitted to the company Paypal, to be the subject of an automated data processing. The sole purpose of this automated processing is to protect the use of your means of payment and to prevent the fraudulent use of means of payment on our site. The Paypal company is the sole recipient of the supporting documents that may be requested after the order has been placed. In accordance with the French Data Protection Act of 6 January 1978, you have the right to access, rectify and object to all your personal data at any time by writing to PayPal (Europe) S.à r.l. & Cie, S.C.A., 22-24 Boulevard Royal L-2449, Luxembourg.

Article 11 : non-payment

Failure to pay a single sum on the agreed due date shall render all sums due payable and shall result in the application of the resolutory clause.

Article 12 : resolutory clause

The sale will be automatically cancelled 48 hours after the sending of an electronic message, equivalent to a formal notice, which has not been followed up in the event of late payment on the due date. The sale will be cancelled automatically and without formality in the event of legal redress or bankruptcy. The penalty clause shall be applied in the event of a cancellation clause.

Article 13 : applicable law and jurisdiction

These GTC are governed by French law. Any dispute relating to the validity, interpretation or execution of this contract and after failure of any conciliation, will be submitted to the competent courts of the French territory.
